Hey Lady! Referral Program Terms and Conditions

Participation in our Referral Program is bound by the following definitions, terms and conditions.

Definitions

Hey Lady! is a trading name of MMMENGLISH PTY LTD hereinafter referred to as we, us or ours
Member/s means the customers of Hey Lady! who have created an account in the community platform
Commencement Date means the date on which the Referral Program, its terms and conditions, become applicable
Referral Program means the framework and process by which members can invite their friends or colleagues to a free trial of the platform and the rewards associated with successful referrals, hereafter referred to as the ‘Referral Program’ or ‘Program’.
Participant means any eligible person participating in the Program and may include referrers or referees.
Referrer means the member who is inviting a potential customer to the community
Referee means the potential customer, likely a friend or colleague who is being invited, hereafter referred to as ‘referees’ or ‘friends’ 
Referral credits mean the number of successful referrals that have been made, determined by a referee completing a trial and then signing up to a paid membership subscription that is not refunded. 
Rewards means the additional benefits distributed by Hey Lady! to referrers for successfully achieving specific milestones. 
Promotional credit means financial credit added to a member’s account within the Hey Lady! platform and payment processing system. 
Hey Lady! Meetup means any gathering of members happening at a physical location that is organised by our members or by the Hey Lady! Team. 

Referral Program Terms

1. Replacement of previous Referral Program

a. The Referral Program described in this document commenced on Monday 11th November, 2024 (Commencement Date).

b. This program supersedes and replaces entirely any previous Referral Programs that cease to apply from the Commencement Date.

c. Transfer of referral credits and rewards from the previous Program to this Program is wholly at our discretion and any decisions made with regards to this are final. 

d. Any promotional credits received in return for referral credits accrued under any previous versions of program may be subtracted from eligible promotional credits under the new program. This means that promotional credit already paid for from previous referrals will not be paid out a second time under any new Program.

2. Eligibility Criteria

To participate in the Hey Lady! Referral Program, referrers must:

  • Be active, verified members of the Hey Lady! community.

  • Have an active Hey Lady! account.

  • Have been verified by our team.

  • Have a subscription that is active and not cancelled.

  • Refer someone other than themselves.

3. Referral Process

a. Referrers must use their unique referral link available from their account on our online platform.

b. Referees must click the referral link to claim the free trial and for the referral to be attributed to the Referrer.

c. Our system will detect when the referee joins the platform and if they later commit to a paid subscription.

4. Rewards

Referrers are eligible for rewards when their referral credits reach specific milestones as follows: 

a. 5 friends: Ambassador badge plus $50 in promotional credit added to their account.

b. 25 friends: Platinum Ambassador badge plus 12 months free membership and $200 promotional credit.

c. 50 friends: Diamond Ambassador badge plus lifetime membership and return flights to a Hey Lady! in-person meetup event.

5. Promotional Credit

a. Where applicable, promotional credit is added to the participant’s Hey Lady! account and not any other account. Participants will be notified by email when promotional credit has been added to their account. 

b. Promotional credit may be used only to pay for invoices generated by Hey Lady! for goods and services we provide including but not limited to subscriptions, and programs.

c. Promotional credit is not transferable and not deliverable as cash. 

6. Reward Distribution

a. Rewards will be distributed to members via the platform and/or via email wholly at our discretion. 

b. For the return flights for Diamond Ambassadors, arrangements will be made and paid for by our team in discussion with the successful Program participants individually.

7. Program Duration

a. This referral Program is ongoing until such time as we decide it is no longer ongoing.

b. Hey Lady! reserves the right to amend or adjust the Program and rewards at any time.

8. Restrictions

a. Restrictions may arise depending on the location of the participant, especially concerning return flights where governing laws of the participant's country or the destination country of the Hey Lady! meetup may prevent air travel or obtaining a suitable visa.

b. Any additional costs or expenses related to the event, including food, accommodation, visa expenses, or any other connecting or onward transport arrangements, will be the participant's responsibility.

9. Communication

a. All communications regarding the referral Program will occur within the platform and via email.

b. Updates or changes to the terms and conditions will be communicated via email.

10. Discretion and Abuse Prevention

a. Awarding of referrals and rewards is at the sole discretion of the Hey Lady! team and we reserve the right to confirm that referral credits were earned in accordance with the intention of the program and without foul play.

b. We reserve the right to void referral credits and terminate eligibility to participate where we believe the referrer has deliberately abused the Program by creating false accounts, creating duplicate accounts with different email addresses or encouraging others to participate purely for access to a free trial subscription.

c. We reserve the right to withhold rewards if it is believed that referral credits were obtained in ways that we interpret as being manipulative or deliberately intending to cheat or abuse the Program including but not limited to spamming, bots, scripts or other methods for mass acquisition.

d. Referrers should make every effort to ensure that the referees they bring are genuine prospects who are eligible and suitable for the Hey Lady! community.

e. We reserve the right to terminate a member’s involvement in the Program if we suspect that no effort has been made to invite only those prospects who are suitable for and obviously in need of our products and services.

11. Voiding of Referral Credits

a. Any referral credits accrued under any previous programs may be transferred or not transferred to this program wholly at our discretion. Generally, eligible referral credits include those where a successful referral was made and the referee was not the referrer (“self referred”) and the referee was not granted a refund.

b. If a referrer permanently cancels their Hey Lady! membership, all referrals will become void, and their referral count will be reduced to zero.

c. Should the referrer return to Hey Lady! in the future and create a new account, they will not be credited for the referrals accrued in their previous account.

12. Limitation of liability

a. To the maximum extent permitted by law, we are not responsible for any loss, damage or expense, howsoever arising, whether direct or indirect and/or whether present, unascertained, future or contingent (Liability) suffered by you or any third party, arising from or in connection with your participation in the program or receiving rewards distributed through the program. 

b. Indemnity: To the maximum extent permitted by law, you must indemnify us, and hold us harmless, against any Liability suffered or incurred in connection with your participation or acceptance of the rewards you earned. This indemnity is a continuing obligation, independent from the other obligations under these Terms, and continues after these Terms end. It is not necessary for us to suffer or incur any Liability before enforcing a right of indemnity under these Terms.

13. Disputes 

In the event of any dispute arising from, or in connection with, these Terms (Dispute), the party claiming there is a Dispute must give written notice to the other party setting out the details of the Dispute and proposing a resolution. Within 7 days after receiving the notice, the parties must, by their senior executives or senior managers (who have the authority to reach a resolution on behalf of the party), meet at least once to attempt to resolve the Dispute or agree on the method of resolving the Dispute by other means, in good faith.

By participating in the Referral Program, you agree to abide by these terms and conditions. Hey Lady! reserves the right to make changes to these terms and conditions at any time.
